Managing Partner
Ericka is a business attorney who advises company owners through all stages of the business lifecycle, with a particular focus on helping clients prepare for and successfully complete the sale of their businesses. She brings a practical, solutions-oriented approach to each engagement, working closely with clients to protect their interests, reduce risk, and achieve their strategic goals.

Business Sales & Exits – Representing business owners in stock and asset sales.
Pre-Sale & Strategic Planning – Assisting with entity restructuring, governance clean-up, and legal due diligence to position businesses for a successful exit.
Post-Sale Transition Support – Helping sellers navigate earn-out provisions, consulting agreements, and retained ownership roles following a business transition.
General Business Counsel – Providing ongoing legal support.
Financing & Lending – Drafting and reviewing loan agreements, security instruments, and related financing documentation.
Entity Formation & Structuring – Advising startups and professionals on forming corporations and LLCs tailored to their operational goals.
Securities Law Compliance – Counseling companies on capital formation and securities law compliance, including issuances of common stock, preferred stock, convertible notes, and other private financing transactions.
Equity Compensation – Advising companies on equity incentive strategies, including restricted stock, stock options, and other equity and quasi-equity compensation arrangements for founders, executives, employees, and consultants.
An active member of the legal community, Ericka served on the Board of Directors of the Contra Costa County Bar Association and was honored to serve as President in 2022.
Ericka earned her J.D. from the University of California, Hastings College of the Law and she holds a B.S. in Business Administration from the University of California Berkeley’s Haas School of Business.
